1. General Provisions
1.1 This Agreement represents an arrangement concluded between the individual user (hereinafter referred to as the User) and LLC Margaliti Limited (hereinafter referred to as the Company), concerning the use of the Comprehensive English-Georgian Online Dictionary (hereinafter referred to as the Dictionary), the terms and conditions of which are obligatory on the User.
1.2 The Dictionary is available on a website at the following address: www.dictionary.ge
1.3 In case of receiving the Dictionary for fee, it shall be understood that the User knows the Dictionary, is satisfied with its capabilities and accepts the terms and conditions of this Agreement.
1.4 The Company shall be entitled to unilaterally modify the terms and conditions of this Agreement without giving advance notice to users. The modified terms and conditions shall be considered to be agreed upon with the User after seven (7) days from the date of their promulgation on the Company’s website and shall apply to the entire period of the use of the Dictionary by the User.
2. Definition of Terms
For the purposes of this Agreement, the terms used therein shall have following meanings:
Dictionary – the Comprehensive English-Georgian Online Dictionary which is created by LLC Margaliti Limited and Iv. Javakhishvili Tbilisi State University.
Company – LLC Margaliti Limited or any natural or legal person delegated thereby pursuant to a valid arrangement, to whom there has been transferred the right to market the Dictionary or to grant the permission to use the Dictionary in question.
User – any person who uses the Dictionary.
Paid Version – the version of the Dictionary, the right of use whereof is given to the User solely against certain payment to the Company.
Means of Access – username and password, as required in order to use the Dictionary.
3.1 The Dictionary represents an English-Georgian online dictionary which currently includes over 110 000 word-entries. Each word-entry is a subject-matter of copyright and is protected by Law.
3.2 The Dictionary fully represents the polysemy of English words, contains numerous collocations, phrasal verbs, phraseological units, ample amount of special terms from the fields including, but not limited to, science and technology, economy, arts, etc. The total material included in the Dictionary is as comprehensive as up to 800 000 units.
4. User Support
4.1 The User shall have the right to receive programme support from the Company in respect to the problems as may arise in the course of the operation of the Dictionary. Programme support includes advice and suggestions in respect to the functioning of the website.
4.2 Within the framework of Dictionary support, the User will be provided with relevant updates which shall not require any additional payment.
4.3 The main means of user support is the contact form located on the relevant webpage.
5.1 The User shall not have the right to transfer to any third party the Means of Access to the Dictionary without the written consent of the Company.
5.2 The User shall be entitled on one occasion only to transfer the Means of Access to the Dictionary to a third party which, in this case, shall replace the User and will be fully covered by all terms and conditions of this Agreement without any exceptions whatsoever. In case of such transfer, the original User shall lose the right to use the Dictionary.
5.3 The Company shall have the right to block the Means of Access of the User in case if:
(a) the User grossly violates the terms and conditions of this Agreement; and
(b) the User violates the terms and conditions of payment as agreed upon between the User and the Company.
6.1 The Company shall not be responsible for any damage or loss, whether direct or indirect, sustained as a result of the use of or failure to use, in case of availability or unavailability of these possibilities, the material included in the Dictionary. The Company shall not be responsible either in case if the use of the Dictionary is impossible through the fault of third parties (such as Internet provider, hosting provider, etc).
7.1 Legal relationship arising between the User and the Company in relation to the software product shall be governed by this Agreement, the Georgian Legislation in force, as well as by the international treaties and agreements as apply within the territory of the Georgian State.
7.2 LLC Margaliti Limited, pursuant to the valid right, possesses all copyright and neighbouring property and non-property rights within the limits as are necessary for the distribution of the Dictionary.
7.3 LLC Margaliti Limited declares that it protects any copyright and neighbouring property and non-property rights exercised in the Dictionary and is entitled to appear in capacity of claimant or defendant in respect to these rights.
8. Confidentiality of Information
8.1 The Company guarantees that no information provided by the User to the Company in relation to the use of the Dictionary (such as username, e-mail address, etc) will be made available to any third party/parties, and that the information in question will not be used for any purposes other than those as are necessary for ensuring the use of the Dictionary.
9. Registration to the Paid Version of the Dictionary
9.1 The registration to the Paid Version of the Dictionary shall be carried out on a voluntary basis.
9.2 The users registered to the Paid Version of the Dictionary shall be entitled to use additional features, namely to view the full version of a word-entry; to print out the needed word-entry; to send to the Editorial Board of the Dictionary any questions about the words considered interesting by the User and to receive answers within the period of one week, etc.
9.3 For the use of the Dictionary, the Company offers three packages to an individual user: (a) 1 month – GEL3; (b) 6 months – GEL15; and (c) 12 months – GEL25.

10. Methods of Payment to the Company
10.1 Payments to the Company for the use of the dictionary can be made by means of TBC pay terminals, by credit cards (Visa, MasterCard), as well as by bank transfer.
